Procedures and Terms&Conditions

Dear Visitor,

We’re pleased to take you on a business tour to the MAXIMUS International Wholesale Centre in Poland. Step by step you will be introduced to procedures and terms&conditions of getting started up in Poland.

Step #1

Having learnt a profile of your Company and your particular interest in doing business in Poland, we would welcome you to visit MAXIMUS at your earliest convenience in order to get introduced to the Polish textile market in general and the MAXIMUS Center in particular.

Step #2

Once you have decided to visit MAXIMUS we will provide you with a visa invitation letter in order to apply to the Polish Consulate for your visa. It doesn’t apply to holders of the Schengen visa.

MAXIMUS’ Representative in your country will assist you on visa procedures and travelling arrangements from to Poland.

MAXIMUS’ staff will take care of arranging your stay in Poland.

Step #3

On visiting MAXIMUS we will show you available premises to let, so that you could choose the most suitable premises for your business plan in Poland.

Monthly cost of lease in MAXIMUS amounts to 25 EUR per sq. m of net area, including rent, management fee and property tax, excluding consumption of utilities within leased premises. The rent itself on a gross area basis (including common areas) amounts to 13 EUR/ sq. m. All above rates and charges are subject to a VAT tax of 22%, which is refundable in Poland.

Premises are ready made to use and require only a fi-out according to tenant’s individual needs. In an immediate vicinity tenants have access to warehouse facilities.

Step #4

Having decided to lease particular premises in MAXIMUS you’re welcome to sign on spot a Memorandum of Understanding (MoU) that secures your rights to conclude a 5-year Lease Contract after registration of your company in Poland.

Important: Your investment in MAXIMUS will be protected by your countries agreement with Poland on reciprocal promotion and protection of investments.

A security deposit amounting to a 2-month cost of lease is required on signing MoU. Deposit stay on MAXIMUS’ bank account for a duration of the Lease Contract until it’s terminated and cleared, so that it can be returned to the Lessee.

Step #5

Based on the MAXIMUS MoU a local attorney would assist you on registering your company in Poland.

For foreigners the most common company formation in Poland is a limited liability company. No paid-up capital is required until the newly registered company enters into business activities. There can be one or more shareholders, either commercial entities or individuals.

A total cost of registration, including attorney’s fee and related expenses amount to approx. EUR 2,500 plus VAT

Step #6

Having obtained your Polish company’s registration number (KRS) that takes approx. 4 weeks, your attorney registers the company with a local Tax Office in respect of Corporate Tax (19%) in order to obtain Tax Identification Number (NIP).

Important: Your after-tax-profits can be freely transferred out of Poland, and according to your country’s agreement with Poland on avoiding double taxation your Polish profits are not subject to taxation in your country.

Step #7

In case foreign shareholders and/or other foreigners are appointed as your Polish company’s board members or managers, a broker for foreigners’ affairs will obtain work permits for those individuals.

Work permit takes 4 weeks to obtain and costs approx. EUR 500 EUR plus VAT per person.

After having obtained a work permit, the individual may apply to the Polish Consulate for a work visa.

Step #8

Having obtained tax ID your attorney or company’s mangers will:

- open a corporate bank account; in MAXIMUS there are branches of a few banks, which give service to Center’s tenants,

- employ a local staff; monthly salaries in MAXIMUS amount to approx. 600 EUR gross,

- register the company with the Social Security (ZUS),

- take the leased premises over, furnish and decorate them according to your needs,

- insure your company in MAXIMUS from a risk of property loss and third-party-liabilities,

- authorise a local Customs broker to clear imported goods under rules and tariffs of the European Union; once the goods are imported into Poland, can be freely and without formalities resold to any other EU country,

- optionally, lease on-spot storage area (35 cubic m cost 150 EUR a month),

- assign an outsource accountant to keep your company's books; monthly fee amounts to approx. EUR 200.
